Terms and Conditions
1. Overview and Acceptance
These Terms and Conditions govern access to and use of ATR's auction platform, as well as all bids, purchases, payments, shipments, and related transactions completed through the platform. By registering for an account, accessing the platform, or placing a bid, you agree to be bound by these Terms and Conditions. ATR's goal is to provide accurate and transparent listings while setting clear expectations that support efficient transactions and reduce misunderstandings, returns, disputes, and RMAs. All bidders are expected to review these Terms and Conditions in full before participating in any auction.
2. Eligibility and Authority
To bid or purchase through the platform, you must be at least eighteen (18) years old and legally capable of entering into a binding contract. If you bid or purchase on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity to these Terms and Conditions. ATR may refuse access to the platform or decline any bid or transaction if it determines, in its sole discretion, that a bidder does not meet eligibility, compliance, verification, or risk requirements.
3. Binding Bids
All bids placed through the platform are legally binding. By placing a bid, you commit to purchase the item at the winning bid price in accordance with the listing and these Terms and Conditions. Failure to complete a transaction does not void this obligation.
4. Business-to-Business Purchases and Buyer Qualificationz
Certain lots offered through the platform are available only to qualified business buyers and may not be purchased by individual consumers without a valid tax identification number (TIN) or FEIN. Lots that require business-to-business credentials will be clearly identified in the listing. Buyers who wish to bid on commercial (restricted) lots must be prequalified by ATR before placing a bid or completing a purchase. ATR may request documentation reasonably necessary to verify business status, tax registration, resale eligibility, or other qualification requirements, and may deny, restrict, or cancel bidding privileges or transactions if such requirements are not satisfied.
5. Payment Terms
Payment is required within three (3) business days of winning an auction unless otherwise stated in the listing or invoice. Orders not paid within this timeframe may be canceled without further notice and relisted. Repeated failure to remit payment may result in suspension or termination of account privileges. In cases of continued or egregious non-payment, ATR may extend restrictions to associated accounts, business entities, affiliated profiles, payment methods, shipping addresses, or other related identifiers. ATR also ATR Auction Platform Auction Terms and Conditions reserves the right to relist items and recover losses associated with non-payment to the fullest extent permitted by law.
6. Credit Card Payments and Wire Transfer Requirements
All credit card payments are subject to a non-refundable 3% processing fee, except where prohibited by law. This fee will be added to the total transaction amount when payment is processed. Transactions exceeding $5,000 may be subject to manual verification through Authorize.net before payment is approved and accepted. ATR reserves the right to delay processing, place transactions on hold, request additional verification, or reject a payment if fraud prevention or authorization requirements are not satisfactorily met. Any such review or delay does not waive the buyer's obligation to complete the transaction. Transactions exceeding $50,000 shall be paid only by wire transfer. No shipment, release, or transfer of goods will occur until such wire payment has been received in full and confirmed by ATR.
7. Payment Disputes, Chargebacks, and Misuse
Buyers may not misuse chargebacks, payment disputes, claims, or other transaction remedies. A buyer may not dispute a charge based on buyer remorse, failure to review the listing, disagreement with disclosed item condition, or any issue that was clearly stated in the listing or otherwise excluded under these Terms and
Conditions. Buyers may not pursue duplicate recovery for the same transaction through more than one channel, including ATR, a card issuer, PayPal, Authorize.net, or any other payment processor or financial institution. If ATR has already issued a refund, credit, replacement, or other resolution, the buyer must not initiate or
continue any additional dispute or chargeback regarding the same matter. ATR reserves the right to challenge any dispute or chargeback that is improper, abusive, fraudulent, or duplicative and to submit relevant transaction records, listing details, communications, delivery confirmation, and other supporting documentation in support of its position. Repeated or improper use of disputes, chargebacks, or payment claims may result in cancellation of transactions, suspension or termination of bidding privileges, and ATR's recovery of resulting losses, chargeback fees, administrative costs, legal fees, and related expenses to the fullest extent permitted by law.
8. Item Condition, Buyer Responsibilities, and Limited Functionality Warranty
ATR makes reasonable efforts to disclose known issues, defects, and missing components in each listing. Due to the nature of auction and liquidation sales, items may not be new and may show signs of use, wear, cosmetic imperfections, or missing parts and accessories unless otherwise stated in the listing. Except as expressly stated in the listing or required by applicable law or certification standards, all items are sold as-is, where-is. Buyers are responsible for reviewing all descriptions, photographs, notes, and condition details before bidding, and for understanding the item's condition, completeness, and suitability for their intended use. Failure to review listing details or assumptions regarding condition will not constitute valid grounds for returns, refunds, or RMAs. Notwithstanding the as-is nature of the sale, the applicable items are covered by a 30-day limited warranty for functionality, beginning on the date of delivery, in accordance with ATR's R2 Ready for Resale obligations. This warranty is limited solely to functionality issues not disclosed in the listing that prevent the item from meeting ATR's R2 Ready for Resale functionality standard. This warranty excludes cosmetic issues, ordinary wear and tear, disclosed defects, disclosed or missing accessories or components, damage caused after
ATR Auction Platform -Auction Terms and Conditions - delivery, misuse, improper handling, buyer configuration issues, incompatibility unrelated to core
functionality, and any alteration or third-party repair performed after receipt.
9. Pallet and Bulk Lot Variance
For bulk purchases, including liquidation pallets and other mixed lots, the final item count per pallet or lot may change. Any known or anticipated material variations will be communicated to the buyer and agreed upon, when reasonably practicable, prior to finalizing the sale. Minor variances may still occur due to the nature of bulk inventory.
10. Taxes, Exemption Documentation, and Buyer Responsibility
Buyers are responsible for all applicable sales, use, excise, customs, duties, value-added, and similar taxes, fees, or governmental charges arising from a transaction unless a valid exemption or resale document is provided to ATR and accepted by ATR before the transaction is finalized. ATR may request additional documentation to verify tax-exempt, resale, or business status and may reject incomplete, inaccurate, expired, or otherwise invalid exemption documentation. ATR may rely on documentation submitted by the buyer and reserves the right to charge applicable taxes if satisfactory documentation is not received or verified in a timely manner.
11. Order Finality, Returns, and Return Condition
All sales are final unless explicitly stated in the listing. Returns and RMAs are not intended to remedy buyer oversight, buyer remorse, or a failure to review listing details. If ATR authorizes a return, warranty claim, refund, replacement, or other post-sale remedy, the item must be returned in substantially the same condition in which it was received, with the same serial number, asset tag, and all components that accompanied the shipment, unless otherwise approved in writing by ATR. ATR may deny or reduce a refund or other remedy if parts are removed, swapped, damaged, altered, or missing, or if the returned item does not match the item shipped. Buyers are responsible for returning the preauthorized products to ATR at their sole expense unless otherwise agreed upon in advance by both parties.
12. Off-Platform Transactions Prohibited
Buyers may not use contact information, listing information, or other information obtained through the platform to negotiate, complete, or attempt to complete a transaction outside the platform in order to avoid platform rules, fees, controls, or protections. ATR may cancel bids or transactions, suspend accounts, and take other enforcement action if it determines that a user has attempted to circumvent the platform in this manner.
13. Auction Integrity, Technical Issues, and Listing Corrections
ATR reserves the right to preserve the integrity of the platform and any auction conducted through it. ATR may refuse bids, cancel bids, reopen bidding, extend an auction, withdraw a lot, correct errors, or cancel a transaction if it determines that fraud, abuse, manipulation, a system malfunction, duplicate bidding activity, a material listing error, an inventory discrepancy, or another integrity, compliance, or operational issue has affected or may affect the fairness or accuracy of the auction or transaction.
The platform may experience outages, interruptions, delays, connectivity failures, software issues, or data errors. ATR does not guarantee uninterrupted access to the platform, real-time bid transmission, or error-ATR Auction Platform Auction Terms and Conditions free platform performance, and ATR shall not be responsible for losses arising from technical failures beyond its reasonable control.
14. Bidder Conduct and Prohibited Activity
Buyers may not engage in collusive bidding, bid shielding, false bidding, bid retraction, interference with another bidder's participation, fraudulent conduct, or any other activity intended to distort the outcome of an auction, misuse the platform, or manipulate prices. ATR reserves the right to investigate suspected misconduct and to take any action it deems appropriate to protect the platform, its users, and its business operations.
15. No Additional Warranties
Except for the limited functionality warranty expressly stated in these Terms and Conditions or otherwise required by law, ATR disclaims all other warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
To the fullest extent permitted by law, ATR shall not be responsible for buyer assumptions or misinterpretation of listings, conditions typical of used, surplus, or liquidation inventory, issues not reasonably identifiable during processing, losses resulting from resale, third-party handling, or misuse, or losses arising from technical interruptions, listing errors corrected in accordance with these Terms and Conditions, or buyer failure to comply with these Terms and Conditions. In no event shall ATR be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost business opportunities, loss of goodwill, or other economic losses arising out of or related to the platform, any auction, or any transaction, even if advised of the possibility of such damages.
17. Indemnification
By using the platform, placing a bid, or purchasing any item, you agree to indemnify, defend, and hold harmless ATR, its owners, affiliates, employees, agents, and representatives from and against any claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the platform; (b) your breach of these Terms and Conditions; (c) your failure to complete a transaction; (d) your misuse, resale, handling, transport, export, or disposal of any item purchased through ATR's auctions; or (e) your violation of any law, regulation, or third-party right. This obligation applies whether the claim is brought by another user, a third party, or a governmental authority. ATR reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully in asserting any available defenses.
18. Dispute Resolution; Mediation and Alternative Proceedings
To help reduce the cost and burden of formal legal proceedings, ATR reserves the right, in its sole discretion, to require that any dispute, claim, or controversy arising out of or relating to the platform, any auction, any listing, any transaction, any payment dispute, or these Terms and Conditions first be submitted to a neutral
third-party dispute resolution process, including mediation, informal settlement conference, or another alternative dispute resolution procedure administered by a mediator, arbitration service, or similar dispute resolution provider selected by ATR. Alternative dispute resolution is commonly used to resolve disputes outside the courtroom and can be structured to reduce time, cost, and procedural burden.

Participation in such a process shall be a condition precedent to the filing of any lawsuit or other formal legal
proceeding, except where ATR seeks immediate injunctive relief, collection of amounts due, protection of confidential information or intellectual property, recovery of goods, or other relief that ATR determines requires prompt court action. If ATR elects to require mediation or another alternative dispute resolution process, the buyer agrees to cooperate in good faith and to participate before commencing or continuing litigation. If the dispute is not resolved through that process, ATR may, at its discretion, elect to proceed through arbitration, litigation, or any other remedy available under applicable law. Many dispute resolution programs are voluntary, but contracts can require mediation or arbitration before court proceedings, so enforceability should be reviewed by counsel for your state and customer mix.
19. Account Conduct and Enforcement
ATR reserves the right, in its sole discretion, to suspend, restrict, limit, or terminate any account, bid
privileges, or access to the platform for conduct including, but not limited to: failure to complete payment
within required timeframes; repeated order cancellations, chargebacks, disputes, or other transaction related issues; attempts to circumvent platform policies, bidding restrictions, or enforcement actions through alternate, duplicate, or affiliated accounts; fraudulent, deceptive, abusive, suspicious, or otherwise
inappropriate activity that may negatively impact the platform, users, or operations; or violations of these Terms and Conditions or any other policies posted on the platform. Enforcement actions may extend beyond a single account and may apply to related users, business entities, affiliated profiles, payment methods, shipping addresses, or other associated accounts or identifiers, particularly in cases of repeated abuse, fraud, or noncompliance.
20. Communications, Verification, and Recordkeeping
ATR may contact buyers by email, phone, text message, platform message, or other contact method provided by the buyer for purposes including account verification, business qualification, tax validation, fraud prevention, payment follow-up, shipment coordination, customer service, and dispute resolution. ATR may request documentation or information reasonably necessary to verify identity, business credentials, billing details, shipping information, tax status, payment authorization, or compliance with these Terms and Conditions. ATR may retain transaction, communication, and verification records for operational, compliance, fraud prevention, and dispute resolution purposes.
21. Survival
Any provisions of these Terms and Conditions that by their nature should survive account closure, bid cancellation, shipment, return, or completion of a transaction shall survive, including, without limitation, payment obligations, tax obligations, warranty limitations, return-condition requirements, limitation of liability, indemnification, account enforcement rights, and dispute-related obligations.
22. Acknowledgment
By registering for an account, accessing the platform, or placing a bid in any auction offered through the platform, you acknowledge and agree that you have read, understood, and accepted these Terms and Conditions, including the Buyer Responsibilities provisions contained herein. You further acknowledge and accept the risks associated with auction-based purchases, including that items may be used, incomplete, contain defects, or differ from buyer expectations except as expressly stated in the listing.
